10. CREATE Charter School does not properly record the activities of the Board meetings in the board minutes. A review of the 2003-2004 board meeting minutes revealed concerns regarding the details presented in the minutes. The comments included in the board meeting minutes are vague, lack specific board action for approvals, including hiring, termination, and salary changes, do not include approvals of bill lists prior to the issuance of payments, and are generally incomplete. The board book provided to the OCI investigators was missing exhibits and attachments which should have been included in the official book for public inspection. The minutes also lack specific financial data including the budgeted and actual expenditures. Recommendation The CREATE Board of Trustees must establish policies and procedures to properly record the minutes, in sufficient detail, of all the meetings of the board, including executive session as required by N.J.S.A. 10:4. 11. CREATE Charter School failed to maintain adequate human resource and payroll functions. During the investigation, review of employee and payroll records revealed a serious weakness regarding management control and review of employee hiring, firing, and the payroll process, The business administrator, hired in October 2002 at an annual salary of $60,000 included a $30,000.00 salary increase (50%) in July 2003 without proper management approval and board review. Other areas of concern disclosed during the investigation included severance payments. The review revealed that there were no policies and procedures in place to govern the disbursement of payments to employees eligible for severance payments. Severance payments appeared to be disbursed based on the discretion of the lead person. Inconsistent practices, as well as the lack of documentation to support the amount of payments made and the actual time for which payments were made was revealed during the review. For example, the wife of the lead person returned to work within a few months after receiving severance pay. In another instance, a newly hired teacher who worked just one week in August 2003 and left before classes actually resumed in September, received more severance than actual pay while in pay status.
